Terms of Service.
Vertmix Consulting Inc. · Effective · Last updated · Version 2026-10-30
These Terms of Service (“Terms”) are the agreement between you and Vertmix Consulting Inc. for using Vertmix Studio. We have tried to write them in plain words. Where a word has a special meaning, we explain it the first time we use it. If anything is unclear, write to [email protected].
The short version:
- You keep what you put into Studio. We use it only to run Studio for you.
- Studio posts to your YouTube, TikTok or Instagram account only when a person in your studio tells it to, and it adds nothing to what you post.
- You follow the law, these Terms and the rules of each platform you connect.
- Paid plans renew every month through PayPal until you cancel. Cancelling takes effect at the end of the period you paid for.
- AI answers can be wrong. Check them before you rely on them.
- Ontario law applies, but you keep any consumer rights that the law where you live gives you.
This short version is only a guide. The sections below are the Terms.
The agreement
Who we are. Vertmix Studio (“Studio”) is provided by Vertmix Consulting Inc. (“Vertmix”, “we”, “us”, “our”), a company registered in Ontario, Canada.
Who “you” are. “You” means you, the person using Studio. If you create a studio, buy a plan, or accept these Terms for an organisation, such as your employer, your business or a client, you accept them for that organisation as well and confirm you have its authority to do so, and “you” includes it. If you are only a member of a studio someone else created, these Terms bind you for your own use.
What these Terms cover:
- our website, studio.vertmix.com;
- the Studio app at app-studio.vertmix.com;
- the Studio desktop app, and the Studio apps for iOS and Android;
- the MCP endpoints, which let an AI client you choose (such as Claude) work in Studio for you;
- the emails Studio sends;
- Support and the Growth Partner portal inside Studio.
Words we use. A studio is the shared space an organisation, team or business uses in Studio. A studio’s Owners decide who is in it and what each person may see and do. A member is a person in a studio. A connected account is an account on another service, such as a YouTube channel, that someone in a studio has linked to Studio. Your content is explained in Your content.
How you accept these Terms. You accept them when you create an account: Studio says so beside the button that creates it, and records which version you accepted and when. If you made your account before this version, Studio asks you to agree once, the next time you sign in. If we made your account for you, Studio asks you to agree the first time you sign in. If you use our website without an account, the parts of these Terms about our website apply to that use.
What the agreement is made of:
- these Terms;
- the plan and prices shown on your studio’s Billing page;
- if you are a Growth Partner, the Growth Partner agreement you sign in Studio (see Growth Partners).
If they conflict, the Growth Partner agreement wins on partner matters, and these Terms win on everything else.
Our Privacy Policy explains how we handle personal information. It is a notice, not part of this agreement, except where these Terms refer to a specific part of it.
App stores. If you got a Studio app from Apple’s App Store or Google Play, that store’s terms also apply to the download. These Terms are between you and Vertmix only, not Apple or Google. Apple and Google have no duty to maintain or support the app, and Vertmix, not Apple or Google, is responsible for the app and for any claim about it, including product liability, consumer-protection, privacy and intellectual-property claims. If the app fails a warranty that applies, you may tell Apple, which may refund the app’s price, if any; Apple has no other warranty duty. You confirm that you are not in a country under a U.S. government embargo and not on a U.S. government list of prohibited or restricted parties. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you as they relate to the iOS app.
Who can use Vertmix Studio
- You must be at least 18 years old, and of the age of majority where you live, and able to make a binding contract. Studio is a business tool for adults. It is not for children.
- You may not use Studio if the law forbids you from receiving it, for example because of sanctions.
- Studio is built for work: for businesses, teams and creators. If you use it as a consumer, the consumer protection laws where you live still protect you (see Governing law and disputes).
Accounts, studios and roles
Your account.
- Give accurate information, and keep it up to date, especially your email address: it is where we send notices.
- An account is for one person. Do not share your sign-in with anyone.
- Keep your password, your sign-in methods and any MCP tokens safe. We recommend turning on two-factor authentication in Account settings → Security.
- You are responsible for what happens through your account, including through the MCP tokens you make and the automations you set up.
- If you think someone else has used your account, change your password, end your other sessions in Account settings → Security, and tell us at [email protected].
Studios.
- The person who creates a studio becomes its first Owner. If you create a studio for an organisation, the studio and its content belong to that organisation.
- Owners decide who joins, the role each person has, and what each role may see and do. Owners, and anyone they give billing permission to, manage the studio’s plan.
- If you are a member, your access depends on the studio. Its Owners can change your role or remove you. What you added to a studio stays with the studio when you leave it.
- The last Owner. A studio needs an Owner. If you are the last Owner of a studio that other people still use, Studio asks you to make someone else an Owner before you leave the studio or delete your account. If a studio’s only Owner can no longer act (for example, they have left the organisation), the organisation can write to [email protected]. Once we have checked that it has the right to ask, we may make another member an Owner.
MCP tokens, automations and agents. An MCP token lets an AI client act in one studio as you, within the permissions you give the token and never beyond your role. Automations and agents act for your studio as they are set up, within the spending limits set for them. The person who sets one up is responsible for what it does.
The people you bring into your studio
Your studio can hold information about people who are not members. For example: its customers and contacts, people who answer its forms, guests in its meetings, the contractors and customers in Dispatch, people named in the files and data it imports, people who appear in its videos, and the payers and payees in the Wise transactions Books reads.
Your studio decides what information about these people goes into Studio, and why. We handle it for your studio, as described in How we process your studio’s data. Your studio is responsible for:
- having the right, under the law, to collect that information, put it in Studio and use it;
- giving those people the notices the law requires: who your organisation is, what it collects, why, and that it uses service providers such as Vertmix;
- getting any consent the law requires, for example before recording or transcribing a meeting, or before sending marketing email or other commercial messages through Studio’s forms, automations or email features;
- answering their requests to see, correct or delete their information. You can do most of this in Studio. If such a request reaches us, we pass it to your studio and help it answer;
- inviting only people it is allowed to invite, and giving each member only the access they should have.
A person you invite who creates an account accepts these Terms for their own account.
Your content
What it is. “Your content” is everything you or your studio put into Studio, such as files, videos, records, pages, messages, form responses and meeting recordings. It also includes what Studio makes from it for you, such as AI answers, clips, transcripts and reports.
You keep it. You, or your studio, keep all ownership rights in your content. We do not claim any of them.
What you let us do with it. You give us a worldwide, non-exclusive, royalty-free permission to host, store, copy, process, transmit, display and send your content, only as needed to run Studio for you. That means: to show it to the people your studio allows, to do what you ask (for example, publish a video to the channel you choose, or email a form receipt), to keep Studio secure, and to meet the law. Our service providers may do the same for us, under the terms described in the Privacy Policy. This permission lasts while your content is in Studio, and for the time deleted content stays in our backups.
We do not sell your content, we do not use it for advertising, and we do not use it to train AI models.
Your promises. You confirm that you have every right you need for your content, including for any music, footage and images in it and the voices and likenesses of the people in it. You also confirm that your content, and your use of it, do not break the law or these Terms.
Keep your own copies. Any backups we keep are for recovering from our own failures, not for restoring what you delete. Keep your own copy of anything you cannot afford to lose. Deleted items stay in the Recycle bin for 30 days, and are then deleted from Studio; if a backup holds a copy, it remains until the backup is replaced.
Feedback. If you send us ideas or suggestions, we may use them without paying you or owing you anything.
Studio itself. Studio, its software, its design, and the Vertmix names and logos belong to Vertmix or to the companies that license them to us. While these Terms apply, we give you a personal, non-exclusive, non-transferable right to use Studio for yourself and your organisation. You may not copy, sell or resell Studio, or try to extract its source code, except where the law allows it.
Acceptable use
You must not use Studio, or let anyone else use it, to:
- break the law, or help someone else break it;
- infringe anyone’s copyright, trademark, privacy, publicity or other rights;
- post or store content that sexually exploits children, threatens or harasses people, promotes violence or terrorism, or attacks people for who they are;
- deceive people, for example by impersonating someone, misrepresenting who you are, or publishing realistic altered or made-up media of real people or events without saying so;
- send spam, or send messages people have not agreed to receive where the law requires their agreement;
- post to a platform in ways its rules forbid, such as spam, fake engagement, or content you have no right to post;
- collect personal information without a lawful basis, or build profiles of people from data Studio gets from a platform;
- use data Studio gets from a connected platform to decide anyone’s eligibility for housing, employment, insurance, credit or the like, to discriminate against people based on personal attributes, for surveillance, or to re-identify anonymised data;
- store health information, payment card numbers, government identity numbers or other sensitive information, unless the law allows it and your studio has the protections the law requires. Studio is not designed to hold health records or payment card data, and we do not sign agreements that cover them (such as a HIPAA business associate agreement);
- upload malware, or attack, overload, probe or break into Studio or anyone else’s systems;
- get around Studio’s limits, permissions, billing or security, or try to reach another studio’s data;
- go beyond the limits a platform sets for apps, such as its rate limits or daily posting caps;
- scrape, copy or resell Studio, or use it to build a competing product.
Reporting security problems. If you find a security problem in Studio, tell us at [email protected], and give us reasonable time to fix it before telling anyone else. While testing, do not access or keep other people’s data, and do not disrupt Studio. A good-faith report made this way does not break this section.
What we may do. If we reasonably believe that content or use breaks this section, we may remove or disable the content, limit features, or suspend accounts or studios, as described in Suspension, termination and exporting your data. We tell the person affected what we did and why, unless the law forbids it or telling them would put someone at risk.
YouTube, TikTok and Instagram
Connecting an account
- Connect an account only if it is yours, or its owner has allowed you to connect it.
- Your own agreement with each platform still applies to your account there, and you must follow it.
- An account you connect starts shared with everyone in your studio (except people on its Customer role), who can see its data and, except on TikTok, publish to it. The person who connected it, the studio’s Owners and anyone whose role lets them manage connected accounts can narrow that to teams or named people at any time, with Share… in the account’s ⋯ menu in Studio settings → Connectors. Check who can use it, and narrow it if you need to. If your studio lets its Growth Partner in, an account shared with everyone in the studio is shared with the partner too.
- Studio posts only on your instruction. Studio publishes to a connected account only when a person in your studio tells it to: by pressing Publish, by scheduling a post, or by approving a post that an automation or agent has prepared. Nothing is sent until a person approves it, and in Studio’s publishing template the approval shows what will be published and to which account. TikTok is stricter (see below). Studio posts as your account, with the content and settings you chose, and nothing else. It adds no watermark, logo or other mark to what you publish.
- You are responsible for what you publish, and you must hold the rights to it.
- Each platform can change its rules or its services, limit what apps may do, or refuse a post. We do not control that, and we may have to change or remove a feature because of it.
- Disconnecting. In Studio settings → Connectors, open the account’s ⋯ menu and choose Disconnect. Studio deletes the saved sign-in at once, and everything it copied from that account within 7 days, apart from the few names and titles kept in Studio’s own logs, such as an automation’s approval request, as the Privacy Policy explains. You can also remove Vertmix Studio at the platform. We check every connection regularly, and when a platform tells us its access was withdrawn, Studio removes the connection at once and deletes its data within 7 days. Our Privacy Policy and data deletion instructions give the details.
- If our access to a platform ends, or a platform requires it, we stop using the data we got from that platform and delete it, as its terms require.
YouTube
Vertmix Studio uses YouTube API Services. By connecting a YouTube account or using Vertmix Studio’s YouTube features, you agree to be bound by the YouTube Terms of Service. Google’s handling of your information is described in the Google Privacy Policy.
Vertmix Studio’s use and transfer to any other app of information received from Google APIs will adhere to Google API Services User Data Policy, including the Limited Use requirements.
- When you publish to YouTube, you confirm that you own the rights to the video or are authorised to post it, and that it complies with the YouTube Terms of Service. You answer YouTube’s questions about each upload yourself, including whether it is made for kids and whether it contains altered or synthetic content.
- Nothing in these Terms gives you, or anyone else, a right to download, copy, store or sell YouTube videos, audio or data. Studio does not download videos or audio from YouTube. To work with a video’s footage, upload a file you have the right to use.
- When you add a YouTube channel you do not own, Studio shows you its public details from YouTube. That gives you no rights in the channel or its videos.
- YouTube data Studio reads is refreshed or deleted within 30 days, except your connected channel’s own statistics, which Studio keeps while the channel stays connected and its authorisation is re-checked at least every 30 days, and the names and titles in Studio’s own logs, which the Privacy Policy’s How long we keep it describes.
- As well as disconnecting in Studio, you can revoke Studio’s access at any time on the Google security settings page.
TikTok
- You must follow TikTok’s Terms of Service, Community Guidelines, Branded Content Policy and Music Usage Confirmation.
- Only the person who connected a TikTok account can post to it, and only from Creators’ TikTok post screen (in its Publish and Schedule dialogs), by pressing Publish or Schedule there. Automations, the assistant, AI clients connected through MCP and other people in your studio cannot post to TikTok. People you share the account with can see how its posts are progressing.
- On the post screen, you choose who can see each post; Studio picks no audience for you. Comments, Duets and Stitches stay off unless you turn them on. Until TikTok has audited Vertmix Studio, TikTok lets every post be seen only by you (“Only me”), and the post screen says so.
- You must hold the rights to everything in your video, including its music. If your video promotes a brand, product or service, whether your own or someone else’s, you must turn on the commercial content disclosure on the post screen. Where TikTok’s rules ask for it, tick Made with AI for AI-generated content.
- TikTok may take a few minutes to process a post before it shows on your profile.
- You can remove Vertmix Studio in TikTok’s settings, under Security and permissions → Manage app permissions. TikTok tells us, and Studio removes the connection and deletes what it copied within 7 days.
- Studio connects only Instagram professional accounts (Business or Creator).
- You must follow Instagram’s Terms of Use and Community Guidelines. Meta’s handling of your information is described in the Meta Privacy Policy.
- Studio publishes the reels and photos you choose, with the captions you write, as your account. Instagram limits how many posts an account can publish through apps in a day, and Studio tells you when you reach that limit.
- Instagram does not let an app withdraw its own access. When you disconnect an Instagram account in Studio, also remove Vertmix Studio under Apps and websites in your Instagram settings. Meta tells us when you do, and Studio removes the connection and deletes what it copied within 7 days.
Other services
You can also sign in to Studio with Google, Microsoft or Discord, or with your organisation’s single sign-on. You can connect Notion, to import the pages and databases you choose, and Wise, so the Books app can read your balances and transactions; Studio only reads from Wise and never moves money. Payments for Studio go through PayPal. These services are run by other companies under their own terms, which apply between you and them. We are not responsible for them.
No affiliation or endorsement
YouTube and Google are trademarks of Google LLC. TikTok, Instagram, Meta, Notion, Wise, PayPal and the other names of services Studio works with are trademarks of their owners. We use these names only to say which services Studio works with.
Vertmix Studio is not affiliated with, sponsored by or endorsed by YouTube, Google, TikTok, Instagram or Meta.
AI features
What they are. Studio has features that use AI: the assistant, AI steps in automations and agents, and AI features in apps (for example Clips, Cuts, Frame’s reviews, Compilations’ search, Books’ categorising, summaries of form responses, and meeting transcripts and summaries). When you use the assistant, you are talking with an AI system, not a person.
AI can be wrong. Answers, drafts, summaries, transcripts and suggested categories can be inaccurate, incomplete or out of date. Check them before you rely on them, publish them or act on them, especially where money, the law, health or safety are involved. A person in your studio makes the decisions.
Inputs and outputs. Between you and us, what you send to an AI feature is your content, and so is what it gives back. AI can give similar answers to other people, and an answer can resemble existing work, so check before you publish it. Where a platform asks, label AI-generated or altered content when you publish it, for example with YouTube’s altered or synthetic content question or TikTok’s Made with AI box.
How AI requests are sent. Studio’s AI features run through OpenRouter, which passes each request to an AI model provider. On every chat and search-index request, Studio tells OpenRouter not to send it to providers that train on or collect the data they are sent; speech-to-text follows our OpenRouter account’s privacy settings. We do not use your content to train AI models. The Privacy Policy’s AI features section has the details.
Cost. Use of AI features, and of transcription, is charged as your studio’s Billing page shows.
AI clients you connect. An AI client you connect through an MCP token is your choice. It receives what you ask it to read in Studio, and its provider’s own terms apply to that.
Plans, payment, cancellation and refunds
Plans and prices. Plans and prices are shown at studio.vertmix.com/pricing and, in the app, on your studio’s Billing page. A plan’s price can depend on the number of seats, the storage and the add-ons you choose. Some features are charged by use, such as AI, transcription and route optimisation. The price that applies to your studio is the one the Billing page and PayPal show before you approve the payment.
Paying. Paid plans are paid through PayPal. You give your payment details to PayPal, not to us, and PayPal’s terms apply to the payment. Prices are in US dollars. The amount the Billing page and PayPal show before you approve is what you are charged.
Renewal. A paid plan renews automatically every month. PayPal charges the plan’s price at the start of each billing period until you cancel. Charges for use are collected through the same PayPal subscription as they build up, and your Billing page shows them. When you subscribe or change your plan, PayPal’s approval page shows the amount and how often it is charged. After you subscribe, your studio’s Billing page shows your plan, its monthly price, the date it is paid through, that it renews automatically, your invoices, and Cancel subscription.
Changing your plan. A new plan’s price applies from your next billing period, once you approve it at PayPal. We do not charge or credit part of a period when you change plans.
Price changes. We may change our prices. A new price never applies to a period you have already paid for, and we tell you at least 30 days, and no more than 90 days, before a new price applies to your plan.
If a payment fails. PayPal tries again. If it still cannot collect the payment, or your paid plan ends, your studio is locked: its people can open only Studio settings (where the Billing page is), their own Account settings and Support, until someone with billing permission subscribes again. Locking does not delete your studio’s content, but its export tools are not available while it is locked. While a studio is locked, anyone who manages it can still delete it, and its members can still leave it.
Cancelling. You can cancel at any time on your studio’s Billing page. Your plan stays active until the end of the period you have paid for, and then ends. You can undo the cancellation until then. If you stop the automatic payments in your PayPal account instead, your plan ends when PayPal tells us, which can be sooner.
This clause does not apply to consumers in Quebec.
Refunds. We do not refund payments, including for part of a billing period, except:
- where the law requires a refund;
- when we charged you by mistake: tell us at [email protected] and we will correct it;
- when we close your studio or stop offering Studio for a reason that is not your fault: we refund what you paid in advance for the time after it closes (see Suspension, termination and exporting your data).
Consumers’ right to cancel. If you are in the European Economic Area or the United Kingdom, paid plans are for business use only: by subscribing, you confirm that you are buying for your business, not as a consumer. Elsewhere, if you are a consumer and the law where you live gives you a right to cancel a purchase within a set time and get your money back, these Terms do not take that right away. To use it, write to [email protected] within that time.
Growth Partners
Growth Partners are independent businesses and people who bring studios to Vertmix Studio and help them use it. They are not our employees or agents. They cannot make promises for us or change these Terms.
If your studio has a Growth Partner (because it signed up through a partner’s link or code, or because we asked a partner to look after it), the partner sees some information about your studio, such as its plan, its billing standing, its onboarding progress and its Support requests, as the Privacy Policy explains. The partner can enter your studio only if someone who manages your studio lets it in, in Studio settings → Partner, and they can turn that off at any time. To stop the partner seeing your studio’s information in its portal, Support requests included, write to [email protected] and we remove the partner from your studio. What the partner changes inside your studio is recorded in its audit log.
If you are a Growth Partner, the Growth Partner agreement you sign in the partner portal at app-studio.vertmix.com/partners also applies to you. It sets out your commission, your payouts and your duties. When we change that agreement, the portal asks you to sign the new version.
Suspension, termination and exporting your data
You can leave at any time:
- Cancel your plan on your studio’s Billing page.
- Delete a studio. Its Owners, and anyone whose role lets them manage the studio, can do this in Studio settings → Danger zone, once its paid plan has ended. It deletes everything in the studio, including its files.
- Delete your account in Account settings → Profile → Delete account. We email you a link, and nothing is deleted until you open it in a browser where you are signed in to that account. You do not need a password, so an account that signs in with Google or single sign-on can be deleted too. If you are the last Owner of a studio other people still use, make someone else an Owner first.
What deletion removes, and the little we keep and why, is set out in the Privacy Policy’s Disconnecting and deleting section and in our data deletion instructions.
When we may suspend or close an account or studio. We may suspend or close an account or a studio, or part of what it can do:
- if you seriously or repeatedly break these Terms, or use Studio to break the law;
- if it is needed to protect people, Studio or its security, or our access to a platform, for example when a platform tells us that an account broke its rules;
- if the law, a court or an authority requires it;
- if a payment is not made (see Plans, payment, cancellation and refunds).
Before we act, we tell you why and, where we reasonably can, give you a chance to fix the problem. When we must act at once (to stop harm, or because the law, a court, an authority or a platform requires it), we tell you right after. We do not tell you when the law forbids it.
We may also close an account or a studio for any other reason, or stop offering Studio, by telling you at least 30 days in advance. In that case, we refund what you paid in advance for the time after it closes.
Getting your data out. You can export as you go: a database view as a CSV file, Drive folders as a zip file, and a form’s responses. These tools are not available while a studio is locked for payment, so export what you need before your plan ends. For a copy of the personal information we hold about you as an account holder (your profile, sign-in history, Support requests, billing and sign-up details), write to [email protected]. We send it in a common format (JSON or CSV) within 30 days, or, where the law allows, tell you within that time why we need longer.
- If we close an account or studio with 30 days’ notice, you can export your content during that time.
- If we close a studio because of a breach, its Owners can ask us within 30 days for a reasonable way to get its content out. We will provide one, unless the law forbids it or the content itself is the reason we closed the studio.
After an account or studio is closed, we delete its data as the Privacy Policy describes. Data from YouTube, TikTok and Instagram is deleted within 7 days, apart from the names and titles in Studio’s own logs.
What continues after the end. Parts of these Terms that by their nature should continue, such as amounts owed, the permission for content kept in backups, the disclaimers, the limits on liability, the indemnity and the governing law, continue after these Terms end.
Warranties, liability and indemnity
This clause does not apply to consumers in Quebec.
Studio is provided “as is”. We work hard to keep Studio running, secure and correct. But we cannot promise that it will always be available, uninterrupted or free of errors, that it will meet every need, or that connected platforms will keep working with it. To the extent the law allows, we give no warranties or conditions beyond those written in these Terms, including implied ones of merchantable quality, fitness for a particular purpose or non-infringement.
Studio is a tool, not advice. Studio helps you do your work. It does not give professional advice. For example, Books helps you keep your books but is not accounting or tax advice, Dispatch proposes routes that a person in your studio reviews, and AI features suggest and draft. You are responsible for your decisions.
This clause does not apply to consumers in Quebec.
Limits on our liability. To the extent the law allows:
- we are not liable for indirect, incidental, special, consequential or punitive losses, or for lost profits, revenue, business, goodwill or data, even if we knew they were possible;
- our total liability for all claims relating to Studio or these Terms is limited to the greater of (a) the amount your studio paid us for Studio in the 12 months before the event that led to the claim, and (b) US$100;
- we are not responsible for connected platforms, for other services you choose to use with Studio, or for delays and failures caused by events beyond our reasonable control, such as outages of networks or providers, changes a platform makes, natural disasters or government action.
What these limits do not cover. Nothing in these Terms limits or excludes liability for fraud, for gross negligence or intentional wrongdoing, for death or personal injury caused by negligence, or for anything else the law does not allow to be limited or excluded.
This clause does not apply to consumers in Quebec.
Your indemnity. If you use Studio for a business or other organisation, you will defend and compensate Vertmix and our staff against claims made by others, and the related losses and reasonable legal costs, that arise from your content, your use of connected accounts, or your breach of these Terms or the law. This does not apply to the extent a claim is caused by our own breach. We will tell you promptly about such a claim, let you control its defence, and help reasonably at your cost. You may not settle a claim in a way that admits fault for us, or puts an obligation on us, without our written agreement, which we will not unreasonably withhold.
Consumers. If you are a consumer, the law where you live may give you rights that a contract cannot take away or limit, for example the legal warranties under Quebec’s Consumer Protection Act, or statutory rights in the European Union and the United Kingdom. Nothing in these Terms affects those rights.
Governing law and disputes
Talk to us first. If you have a problem with Studio, write to [email protected], or to [email protected] for a legal matter. We will try to resolve it within 30 days. This does not stop you from going to a court or a regulator.
The law that applies. These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to rules about conflicts of laws. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
This clause does not apply to consumers in Quebec.
Courts. You and we agree that the courts of Ontario, Canada, have exclusive jurisdiction over any dispute about these Terms or Studio, except as the next paragraph allows.
Consumers. If you are a consumer, you keep the protection of the laws of the place where you live that cannot be set aside by a contract, and you may also bring a claim in the courts there. In particular:
- if you are a consumer in Quebec, Quebec’s Consumer Protection Act applies to you, and you may bring a claim in the courts of Quebec;
- if you are a consumer in the European Union or the United Kingdom, you may bring a claim in the courts of the country where you live.
Other legal terms.
- If a court finds that part of these Terms cannot be enforced, the rest stays in effect, and that part applies as far as the law allows.
- If we do not enforce a right straight away, we have not given it up.
- You may not transfer your rights under these Terms without our written agreement. We may transfer ours to a company that takes over Studio or our business, if it goes on protecting your information as the Privacy Policy describes. We will tell you if that happens.
- These Terms, with the documents listed in The agreement, are the whole agreement between you and us about Studio.
Changes to these terms
Changes to Studio. We improve Studio all the time, and we may change or remove features. If a change takes away something important that your studio pays for, we tell you before it happens where we reasonably can, and you can cancel. Platforms may also change their own services at any time, which can change what Studio can do with them.
Changes to these Terms. We may change these Terms, for example when Studio changes, when the law or a platform’s rules change, or to make them clearer. Each version shows its version and effective date at the top, and the history below lists every version.
- We may change Studio’s features, our prices (see Price changes), the service providers we use, the platform rules we pass on to you, and how these Terms work. When a change matters to you, we email you at least 30 days before it takes effect (for consumers in Quebec, no more than 90 days before), with the new wording, the old wording and the date.
- Studio then asks you to agree to the new version the next time you sign in, and records your answer.
- If you do not agree, you can cancel before the change takes effect at no cost, and we refund what you paid in advance for the time after you cancel.
- A change does not apply to anything that happened before it took effect.
Version history

Copyright and content notices
Copyright. If you believe that content in Studio infringes your copyright, send a notice to [email protected] that includes:
- your name and address, and an email address where we can reach you;
- the work you say is infringed;
- your interest or right in the copyright in that work;
- where the content is, for example its link;
- the infringement you are claiming;
- the date and time of the infringement you are claiming.
When a notice meets the requirements of Canada’s Copyright Act, we forward it electronically to the person whose content it is, as soon as feasible. We tell you that we did so, or why we could not. We keep the records the Act requires for the time it requires. If you are in the United States, you can send a notice under the Digital Millennium Copyright Act to the same address, and we will review it.
We may remove or disable content that we reasonably believe infringes copyright. In appropriate circumstances, we close the accounts of people who repeatedly infringe. If you believe your content was removed by mistake, write to [email protected] and tell us why. If it was removed after a notice under the Digital Millennium Copyright Act, you can send us a counter-notice that identifies the content, states under penalty of perjury that you believe it was removed by mistake, gives your name, address and phone number, consents to the jurisdiction of the federal court for your address (or, outside the United States, any judicial district where we may be found), and is signed.
Other illegal or harmful content. Most content in Studio is private to its studio, unless the studio shares it through a public link, a public form or a booking page. Anyone can tell us about content in Studio that they believe is illegal or breaks these Terms, at [email protected]. Say what it is, where it is (its link), why you believe it is illegal or breaks these Terms, your name and email address, and that you believe in good faith that your notice is accurate and complete. Authorities and users can reach our single point of contact for content at the same address, in English or French.
- We confirm that we received your notice, review it promptly and with care, and tell you what we decided.
- If we remove or restrict content, we tell the person whose content it is what we did, why, and how to ask us to look at it again or take it to court, unless the law forbids it or telling them would put someone at risk.
How we process your studio’s data
The Privacy Policy. Our Privacy Policy explains what personal information we collect, how we use it, who receives it, how long we keep it, and your rights. Read it together with these Terms.
Our two roles. For your account, billing, Support requests and similar records, we decide how the information is used. For the content your studio puts into Studio, we act for your studio: we handle it only to provide Studio, as your studio directs through its settings and its use of Studio, and as the law requires.
What we commit to for your studio’s data. We:
- process it only on your studio’s documented instructions (these Terms, and your studio’s settings and use of Studio), including about transfers outside your country, and tell you if we believe an instruction breaks data protection law;
- do not sell or share it, do not use it for advertising, and do not keep, use or disclose it for any purpose other than providing Studio, or combine it with other data, except as the California Consumer Privacy Act allows a service provider;
- keep it confidential. Everyone at Vertmix who can reach it is bound to keep it confidential. Only staff who need it for Support, security or the law are given the permission that reaches it (View as), and each View as visit is recorded (see When our staff see your data);
- use service providers under written terms that protect it (or, for the public address lookup, its published policies), bind each to the same data-protection duties, stay responsible for them, and list them in the Privacy Policy before a new one receives personal information;
- protect it with the security measures described in the Privacy Policy;
- tell your studio without undue delay about a security breach that affects it, as the law requires;
- help your studio answer requests from the people the data is about, and help with security, breach notices, impact assessments and consultations with regulators, as far as our role allows;
- let you export its content with Studio’s export tools while your plan is active, and, once your studio is deleted, delete it as the Privacy Policy describes, unless the law requires us to keep it;
- on request, give you the information needed to show we meet these duties, and answer reasonable audit questionnaires once a year.
Our service providers. You authorise the service providers listed in the Privacy Policy. We tell your studio’s Owners by email at least 30 days before a new one receives your studio’s data. If you object on reasonable data-protection grounds, you can end your plan before the change, and we refund what you paid in advance for the time after.
Details. What we process, about whom, and for how long are set out in the Privacy Policy, in What we collect, and how, Who we share it with and How long we keep it.
Data from connected accounts. Data that Studio gets from a connected account for your studio is used only for your studio, as your studio directs, and only as that platform’s rules allow.
Our data processing agreement. This section is our data processing agreement with your studio, for example under the GDPR. If your organisation needs it signed as a separate document, write to [email protected].
